Nexos Flow Terms of Use

These Terms govern the use of Nexos Flow (nexosflow.app and app.nexosflow.app), operated by NEXOS CREATIVE COMPANY LTDA, CNPJ 60.179.840/0001-95 ("we"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. The Service

Nexos Flow is a platform to monitor and control ad spend on Google Ads and Meta Ads. Features include performance dashboards, alerts, reports, artificial intelligence analyses, and automated rules that can pause, resume, or adjust campaign budgets, such as Spend Cap Protection (Hard Cap).

Nexos Flow is an independent service. It is not affiliated with, sponsored by, or endorsed by Google or Meta.

2. Your account

  • You must be at least 18 years old and have authority to represent the company on whose behalf you use the Service.
  • You are responsible for your credentials and for everything that happens in your account.
  • Registration information must be true and kept up to date.

3. Connecting Google Ads and Meta Ads

  • When you connect an ad account, you represent that you are authorized to do so, including when the account belongs to a client of yours.
  • You authorize Nexos Flow to read data from those accounts and to perform the actions you configure.
  • Use of those platforms remains subject to Google's and Meta's terms and policies.
  • You may disconnect an account at any time.

4. Automated rules and Spend Cap Protection

Nexos Flow only runs automated actions that you configured and enabled.

Spend Cap Protection is a support tool to reduce the risk of spending above plan. It does not guarantee that spend will never exceed the defined cap, because it depends on factors outside our control, such as:

  • The interval between data updates
  • Delays or outages in the Google and Meta APIs
  • Platform rules that may spend above the daily budget on some days
  • Changes made directly in the platforms, outside Nexos Flow

You remain responsible for amounts spent and for the settings of your ad accounts. We also recommend keeping the spend limits offered by the platforms themselves.

5. Plans and payment

  • The Service is offered by subscription, with limits on connected clients and users according to the chosen plan.
  • Billing is recurring and renews automatically until cancellation.
  • You may cancel at any time. Access continues until the end of the period already paid.
  • There is no pro-rata refund for periods already started, except where the law requires it.
  • We may change prices with at least 30 days' prior notice. The change applies from the following renewal.

6. Acceptable use

You agree not to:

  • Connect accounts without the account holder's authorization
  • Use the Service for illegal activities or in ways that violate Google or Meta policies
  • Attempt to access other customers' data, bypass security, or overload the Service
  • Copy, resell, or reverse engineer Nexos Flow

7. Ownership

  • Nexos Flow, its brand, software, and design belong to us.
  • Your ad account data and your reports belong to you.

8. Availability and support

We work to keep the Service available, but it may undergo maintenance and interruptions. Support is provided by email at info@nexoscreative.com.

9. Limitation of liability

To the maximum extent permitted by law:

  • We do not guarantee campaign results, such as sales, conversions, or return on investment.
  • We are not liable for indirect damages, lost profits, or lost opportunity.
  • Our total liability is limited to the amount you paid to Nexos Flow in the 12 months before the event.

Nothing in these Terms limits rights that the law grants and that cannot be waived by contract.

10. Suspension and termination

We may suspend or terminate an account for non-payment, violation of these Terms, or risk to the security of the Service or other customers. Whenever possible, we will give prior notice.

When the account ends, you may request an export of your data. Afterwards, data is deleted as described in the Privacy Policy.

11. Changes to the Terms

We may update these Terms. Material changes will be announced by email or in the application at least 15 days in advance.

12. Governing law and venue

These Terms are governed by Brazilian law. The courts of Rio de Janeiro, RJ, have exclusive jurisdiction. Customers in other countries keep the mandatory protections of local law.
